Terms Of Service

  1. Introduction

    Definitions:

    The term “Company” shall mean DSCVR.

    The term “Client” shall mean the person, firm, agency or company to whom the purchase order/invoice is issued.

    The term “Products or Services” shall mean any product or service that is provided by the Company to the Client.

    The term “Contract” shall mean the agreement formed between the Client and the Company when an order is received from the Client. An order may be in written, verbal or electronic form.

    Additional:

    These Terms of Service (the "Agreement") govern the relationship between Ali Bakhakh, operating under the business name DSCVR (referred to as "Videographer," "Photographer," "Coder," "we," or "us"), and the client (referred to as "Client" or "you") for the provision of videography, photography, and coding services. By hiring DSCVR, you agree to be bound by this Agreement.

  2. Service Agreement

    Videography & Photography Services:

    The company will provide videography and photography services as specified in the project proposal or contract. The scope of work will include a description of the services, the duration of the project, locations, and any specific client requests.

      Deliverables:

    The deliverables, including the format, quantity, and resolution of photographs or videos, will be outlined in the project proposal or contract.

      Scheduling and Timing:

    We will work with the Client to establish mutually agreeable timelines for project milestones, including shooting days, editing, and final delivery.

      Client Cooperation:

    The Client will cooperate by providing necessary access, information, and approvals required for the project. Delays or hindrances resulting from the Client's actions may affect project timelines.

    Coding Services:

    The company may offer coding services for web development, application development, or other technical work. The scope of work for coding projects will be specified in a separate project proposal or contract.

      Intellectual Property:

    The coding services will include provisions for intellectual property ownership, licensing, and any specific terms for code usage and distribution. These terms will be detailed in the project proposal or contract.

      Testing and Acceptance:

    The company will perform coding work according to industry best practices. The Client will be responsible for testing and accepting the final product, and any requested modifications or revisions should be communicated promptly.

      Client Responsibilities:

    The Client will provide necessary materials, access, and information to enable the successful completion of coding projects.

  3. Supply of Produtcts or Services

    The Company agrees to supply the products or services to the Client as detailed in the Order/Invoice and according to this Terms of Service.

  4. Payment Terms

    Payment:

    All estimates are exclusive of VAT.
    Estimates prepared by the Company are accurate at the date of issue; however, if additional editing is required the Company will notify the Client in writing of any additional costs that might be incurred due to changes/additional work requested by the Client.

    Payment terms will be outlined in the project proposal or contract. Typically, a deposit may be required before work begins, and final payment is due upon project completion. Invoices will be provided for all services rendered.

    Recieveing / Sending Payment:

    All payments shall be sent / recieved through Monzo.

    Expenses:

    The Company retains the right to charge expenses incurred in providing the products or services subject to presenting the Client with receipts/proof of expenditure. All expenses are charged at cost.

    Final Delivery and Sign off:

    The Company requires the Client’s written approval of any final edits. The Client agrees to cover any additional costs incurred by changes advised thereafter.

    Cancellations:

    In the event of cancellation or delays prior to an agreed filming date:
    Within 168 hours: 15% of filming cost is payable
    Between 72 and 48 hours: 25% of filming cost is payable
    Within 24 hours: 50% of filming cost is payable

  5. Termination

    Either party may terminate this Agreement with written notice if the other party breaches any of its obligations. Termination will not relieve Client's responsibility for payment for work completed up to that point.

  6. Filming Permits and Inclusion of Copyrighted Material

    The Client will ensure that permission is sought for the inclusion of any copyrighted material they supply to the Company to enable them to deliver the products or services.

    The Client agrees to indemnify the Company in the event of any breach of copyright claims being brought against the Company in respect of material supplied by the Client.

    The Client will ensure that all necessary arrangements have been made with, and permissions obtained from, people and places that may be recorded on video as a result of the Company supplying products or services.

  7. Health & Safety

    The Company reserves the right not to film in dangerous or unsafe situations. The Company and Client will observe current Health & Safety regulations and have due consideration for the safety and welfare of staff and the general public.

  8. Copyright

    All video footage shot by the Company remains property and copyright of DSCVR.

    The Client can request the Company a copy of the raw footage. There is a pre-agreed rate of £350 payable by the Client to the Company for the transfer of each hour of raw footage. The pre-agreed fee entitles the Client to receive the material via WeTransfer or equivalent online file sharing system or via Royal Mail depending on the amount of footage.

    The Company reserves the right to display parts of the Clients’ video on the Company’s website and social media platforms unless otherwise agreed during the booking process.

  9. Confidentiality

    Unless otherwise agreed the Company will treat any information gained during the supply of the products or services as being private and confidential. Likewise, the Client shall keep confidential any methods or technology used by the Company to supply the products or services.

  10. Law

    These Terms of Service and any accompanying letter and/or contract are governed by the laws of the United Kingdom.

  11. Changes to Agreement

    This Agreement may be amended only in writing and signed by both parties.

    By engaging in Ali Bakhakh's & DSCVR's services, you acknowledge that you have read, understood, and agree to abide by this Agreement.
